Payment, Title & Retention of Ownership

Payment Terms

• Invoices not settled within the agreed payment period may be subject to additional recovery charges.
• Full payment must be received before ownership of any goods is transferred.

Retention of Title (ROT)

• Premium Printer Solutions & Office Supplies retains ownership of all goods supplied until all amounts owing have been paid in full and cleared funds have been received.
• Delivery of goods does not constitute transfer of title or ownership.

Customer Obligations Until Full Payment

Until payment is completed in full, the customer agrees to the following:

• Goods must be held as bailee for Premium Printer Solutions & Office Supplies.
• Products must be stored securely and separately from other goods, clearly identified as the property of Premium Printer Solutions & Office Supplies.
• Goods must not be sold, pledged, mortgaged, loaned, or otherwise encumbered without prior written consent.
• The customer is responsible for any loss or damage to the goods.
• Upon request, goods must be promptly returned to Premium Printer Solutions & Office Supplies at the customer’s expense.

Non-Payment & Recovery Rights

• If payment is not received by the due date, the customer irrevocably authorises Premium Printer Solutions & Office Supplies to enter any premises where the goods are stored and repossess the goods without liability.
• If the customer has not been paid by a third party for the goods, the customer agrees to assign any related claimto Premium Printer Solutions & Office Supplies upon written notice.

Security Interest

• These Conditions of Sale constitute a security agreement.
• The customer grants Premium Printer Solutions & Office Supplies a security interest in all goods supplied, including both current and future products.
• This retention of title arrangement constitutes a Purchase Money Security Interest (PMSI) in favour of Premium Printer Solutions & Office Supplies.

Conditions of Sale

• All orders are supplied in accordance with our Conditions of Sale.
• A copy of the Conditions of Sale is available upon request if not already provided prior to delivery.
